The points listed below define the terms and conditions of the working relationship of DVRG and clients with whom we work.

Working/Billing Phases:
Based on experience with long-term design communication projects, we have found that it is mutually advantageous to handle each project in logical working/billing phases. Concept revisions, extensive alterations or a change in marketing objectives may make it impossible to accurately estimate in advance the total cost of a project. Canceled projects are billed only through phases and/or portions of phases that were actually completed by DVRG.

Estimates/Quotations:
Pricing estimates submitted by DVRG are based on specifications provided by the Client. In the event that specifications change the submitted estimate may be void. Pricing submitted is valid for 30 days from date stated in the estimate. Estimates for design and graphic services are contingent upon DVRG supplying printed materials and production items designed.

Marketing and Design Consultation:
An initial consultation with DVRG is at no cost to potential clients. Development of marketing materials and the associated research, development and implementation of a project and the associated design are billable at $75.00 per hour. These services are invoiced monthly and invoices are due on receipt.

Time Lines:
Estimates of time and cost for completion of a project are based on deadlines as provided by the client. Knowledge of client deadlines is essential toprovide accurate estimates of complete costs.

Nature of Copy
Client must exercise due diligence in its direction to DVRG regarding preparation of materials, trademark, service mark, copyright and legal clearances. It is the Client's responsibility to check proofs carefully for accuracy in all respects including spelling and technical illustrations. DVRG shall not be responsible for errors or omissions.

Storage:
DVRG will retain intermediate materials until the Client has accepted the related end product. If requested by Client, materials will be stored for an additional time period and for additional fee as appropriate to storage usage.

Confidentiality and Non-Disclosures:
in furtherance of the working relationship it is understood and agreed that certain proprietary information may be disclosed by either party. Such proprietary information may include but is not limited to technical data concerning concepts, plans, proposals, markets, implementation steps, financial projections, business processes, goals relating to business development or implementation. Each party agrees that review of materials and processes is for the sole purpose of determining how best to further the relationship and to provide the services related to the purpose of the project. The intent is to protect data, information and processes that are disclosed but not to obligate either party to disclose any information, data or processes.

Promotion Rights:
DVRG reserves the right to use any item it manufactures in any promotion or collateral materials.
